Terms of Service

These Terms of Service ("Terms") govern your access to and use of liagent ("liagent", "Service"). By creating an account or using the Service, you agree to be bound by these Terms.

1. The Service

liagent is a B2B CRM platform that includes AI-powered lead research, ICP scoring, outreach sequences, deal coaching, and pipeline management. The Service is provided as-is via a web browser at liagent.ro.

2. Account Registration

To use liagent, you must create an account with a valid email address. You are responsible for:

• Providing accurate registration information
• Maintaining the confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately of any unauthorised access at hello@liagent.ro

3. Free Trial

New accounts receive a 14-day free trial with full access to all features. No credit card is required to start the trial. At the end of the trial period, access will be restricted until a subscription is activated. Trial period starts from the date of account creation.

4. Subscriptions and Billing

After the free trial, continued use of liagent requires a paid subscription:

• Annual plan: €49/month, billed as €588/year
• Monthly plan: €60/month, billed monthly

Payments are processed securely by Stripe. liagent does not store your payment card information. All prices are exclusive of VAT where applicable.

5. Cancellation and Refunds

You may cancel your subscription at any time. Cancellation takes effect at the end of the current billing period — you will retain access until then. We do not offer prorated refunds for partial billing periods, except where required by law.

6. Acceptable Use

You agree NOT to use liagent to:

• Send unsolicited commercial messages (spam) in violation of applicable laws (CAN-SPAM, GDPR)
• Store or process data of individuals without appropriate legal basis
• Reverse engineer, decompile, or attempt to extract the source code of the platform
• Use the platform for any illegal, fraudulent, or harmful activity
• Resell or sublicense access to the platform
• Overwhelm the AI APIs with automated requests that violate the respective provider's usage policies (Anthropic, OpenAI)

7. AI Features

liagent integrates with third-party AI providers (currently Anthropic and OpenAI) to provide AI-powered features. By using these features:

• You accept that AI-generated content (lead suggestions, email drafts, deal coaching) is for guidance only and may contain inaccuracies
• You are responsible for verifying AI-generated information before acting on it
• AI usage may be included in your subscription or, where configured, routed through your own API key; consumption limits apply per plan
• Your use of the underlying AI APIs is subject to each provider's terms of service

8. Your Data

You own your data. liagent does not claim ownership of any leads, contacts, notes, or other data you enter into the platform. We process your data solely to provide the Service as described in our Privacy Policy.

You can export your leads at any time via Leads → Export CSV. You can delete your account and all associated data via Settings → Profile → Delete Account.

9. Intellectual Property

liagent, its logo, design, and software code are owned by liagent and protected by intellectual property laws. You are granted a limited, non-exclusive, non-transferable licence to use the Service for your internal business purposes during your subscription period.

10. Service Availability

We aim for high availability but do not guarantee 100% uptime. The Service may be temporarily unavailable due to maintenance, updates, or circumstances outside our control (e.g. third-party service outages including Supabase, Anthropic, OpenAI, Resend, Stripe, or Vercel). We are not liable for losses caused by downtime.

11. Limitation of Liability

To the maximum extent permitted by law, liagent's total liability to you for any claim arising from these Terms or your use of the Service shall not exceed the total amount you paid to liagent in the 3 months preceding the claim.

liagent is not liable for: indirect, incidental, or consequential damages; loss of revenue or business opportunities; accuracy of AI-generated content; or actions taken based on lead data generated by the platform.

12. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied. We do not warrant that the Service will be error-free, uninterrupted, or that AI features will produce accurate results.

13. Termination

We may suspend or terminate your account if you breach these Terms, fail to pay for the Service, or use the platform in a way that harms other users or liagent. You may terminate your account at any time via Settings → Profile → Delete Account.

14. Governing Law

These Terms are governed by the laws of the European Union and the jurisdiction in which liagent is registered. Any disputes shall be resolved through good-faith negotiation first, followed by binding arbitration if necessary.

15. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email at least 14 days in advance. Continued use of the Service after the effective date constitutes acceptance of the updated Terms.
